Our Agreement with You

Our Agreement is with you (the person using our services) and MyFlashPay LLC which sets out the information you need to know by law about this company. You agree to these Terms when you register on one of our Channels. Our Agreement with you will continue for an indefinite period unless terminated by us or you.

When you complete a transaction, additional terms that apply specifically to that transaction, for example, any fees and charges (Fees) and exchange rates, will be part of this Agreement to form your contract with us for that transaction. You’re told about (and agree to) these additional terms each time you visit our Channels and request a service from us. Section 1. General Terms

1.1. To utilise our Services, you must be able to validly enter into a contract, i.e. 18 years or older in countries with a higher age of majority than that.

1.2. You can only use our Services for lawful purposes that are aligned with and permissible in terms of this Agreement and our Terms of Service for our Channels. The following would be examples of prohibited activities :

1.2.1. Illegal activities (e.g., money laundering, gambling, fraud

1.2.2. Transactions involving sanctioned countries (e.g., North Korea, Iran)

1.2.3. Third-party payments unless explicitly authorized by us

1.3. To ensure you receive the best service from us, it is important that your devices be compatible with our Channels. Some features may not display as they should if you have a device that is not compatible.

Section 2. Fees and Exchange Rates

2.1. When utilising our Services through our Channels, you agree to pay any fees and commissions that we levy for those Services, as well as any exchange rate fees that may apply to your transaction.

2.2. Fees are due at the point at which the transaction request is submitted by you to us.

2.3. Other charges beyond our control may also be levied for your transactions such as taxes, or bank charges for making transfers levied by your institution.

Section 3: Our Responsibility to You

Our liability arises from your use of the Services, and is limited as set out below. We will not be liable for any indirect loss, or any loss that is not a direct result of our negligence, fraud, or wilful breach of this Agreement.

3.1. Maximum Liability In all cases, our maximum liability for any claim arising out of a transaction is limited to the principal transfer amount and associated fees of that specific transaction.

3.2. Exclusions to liability MyFlashPay is not liable for any loss, delay, or damage arising from:

3.2.1. Delays due to third parties (such as banks or payment partners), regulatory issues, or force majeure events.

3.2.2. Errors caused by you, including providing incorrect information or having insufficient funds.

3.2.3. System outages, downtime, or security breaches that are beyond our reasonable control.

Section 4: Refunds and Reversals

4.1. You are required to contact us immediately when you identify that there has been a mistake in the processing of your transaction, where you experience any problem with our Services, or you suspect that your account with us has been compromised.

4.2. Where a mistake has occurred, you are subject to a refund or reversal of the transaction to remedy the mistake that has occurred.

4.3. Where there are concerns about the genuineness of the mistake, we may seek to investigate further before issuing a refund or instituting a reversal. Should you fail to cooperate with the investigation, you may not be refunded or receive a refund less than the value of the transaction.

4.4. Reversals and Refunds may also be denied because you abused our channels and or services, attempted to perform an illegal or prohibited transaction, or you communicated the mistake too late.

4.5. Where a reversal or refund has been completed and it is subsequently discovered that you acted fraudulently, we may, subject to applicable legal requirements seek to recover the funds through the funds we hold on your account, or via a charge on your account/card as appropriate.

Section 5: Denial of Service

5.1. We may refuse, delay, suspend or cancel our services to you for a number of reasons including:

5.1.1. suspected fraudulent activity on your account.

5.1.2. suspected compromising of your account by a threat actor.

5.1.3. breach of the terms of this Agreement or the Terms of Service of our Channels.

5.1.4. a competent court order requiring us to do so.

5.1.5. regulatory directives limiting or blocking access to our Channels or Services that impact you or your counterparty.

5.1.6. where possible, we will strive to provide you with a reason for the action taken in a prompt manner through the means of contact you have selected to receive information from us.

5.1.7. Depending on the reason for the action taken, you may still be liable to pay fees on a transaction that has been subject to a denial of service.

Section 6: Amendment of this Agreement

6.1. We may make changes to this Agreement or the associated Terms of Services for our Channels for a number of reasons including:

6.1.1 making our terms clearer to you.

6.1.2. introducing new terms related to additional products or services.

6.1.3. changes in pricing, Service offerings or Channel or Service design.

6.1.4. changes in requirements around managing customer relationships such as the information we collect on customers, how we process it, and the kind of information various levels of services require to process a transaction.

6.2. Where changes would have a material impact on you, you will be notified in advance and asked for your consent to continuing the customer relationship in terms of the updated Agreement. Should you not agree to the changes, you are free to stop using our Channels and Services and to terminate the Agreement.

6.3.Where you are notified of a change and take no action, you will be assumed to have consented to the proposed changes and they will be applied to your relationship with us.

Section 7: Termination of this Agreement

7.1. This Agreement is valid and binding from the point you register through one of Channels and remains in force until ended either by you or by us.

7.1.1. We may terminate this Agreement for a number of reasons including:

7.1.1. a breach of the terms of this Agreement by you;

7.1.1. you have acted in a manner that is inconsistent with continued provision of services or access to our Channels.

7.1.1. changes in legal or regulatory requirements that prevent us from continuing to provide you with access to our Channels and Services.

7.1.1. changes in the operating environment that necessitate discontinuation of certain services.

7.2. We will endeavour to inform you of the reasons for the termination and effective date of the termination through the means of contact you have selected to receive information from us, unless we are obliged to withhold that information or terminate the Agreement immediately by a legal or regulatory requirement.

7.3. You can terminate this agreement at any time by doing one of the following:

7.3.1. Logging into your MyFlashPay account and selecting “Close Account” in the settings or account preferences menu (where available);

7.3.2. Submitting a formal termination request via our Contact Form at www.myflashpay.com/contact; or

7.3.3. Emailing our support team directly at [email protected] from the email address associated with your MyFlashPay account.

7.3.4. Upon receiving your request, we may require identity verification before proceeding with the closure. Termination shall be effective once any outstanding transactions are settled, and there are no pending compliance checks or regulatory obligations on your account.
